1. Agreement to Terms
These Marketplace Terms of Service (the “Terms”) govern your access to and use of the YuZaar.com website, mobile applications (if any), and related services, features, tools, and communications (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms and any policies incorporated by reference. If you do not agree, do not use the Platform.
You represent that you have the legal capacity to enter into these Terms, and that you will comply with all applicable laws, rules, and regulations in connection with your use of the Platform.
2. Key Definitions
In these Terms:
- “Account” means a registered user account on the Platform.
- “Buyer” means a user who purchases or seeks to purchase goods or services through the Platform.
- “Seller” means a user who lists, offers, sells, or provides goods or services through the Platform.
- “Listing” means any offer, advertisement, description, price, image, video, or other content submitted to the Platform to sell or provide a good or service.
- “User Content” means content submitted, posted, uploaded, transmitted, or otherwise made available by users on or through the Platform, including Listings, messages, reviews, photos, videos, and files.
- “Transaction” means an agreement between a Buyer and a Seller for goods or services offered through the Platform.
- “Fees” means any platform fees, processing fees, subscription fees, advertising fees, or other charges disclosed on the Platform or in related policies.
3. Additional Policies; Incorporation by Reference
The following policies and documents, as posted on the Platform, are incorporated by reference and form part of these Terms. If there is a conflict, the specific policy controls for its subject matter: (a) Seller Policy, (b) Buyer Policy/Buyer Protection, (c) Refunds & Returns Policy, (d) Prohibited Items Policy, (e) Content & Listing Standards, (f) Intellectual Property/DMCA/Trademark Complaint Policy, (g) Privacy Policy and Notice at Collection, (h) Payments Policy, (i) Shipping & Delivery Policy, (j) Marketplace Reviews & Anti‑Manipulation Policy, (k) Security & Vulnerability Disclosure Policy, and any other policies posted on the Platform from time to time.
You are responsible for reviewing the policies regularly. The Platform may provide links for convenience, but the controlling version is the version posted on the Platform.
4. Eligibility; Geographic Availability; Compliance
You must be at least 18 years old (or the age of majority where you live, if higher) to create an Account or complete a Transaction unless the Platform explicitly allows otherwise. If you use the Platform on behalf of a business or other entity, you represent that you are authorized to bind that entity.
You agree not to use the Platform where prohibited by law and to comply with all laws applicable to your Listings, sales, purchases, shipping, marketing, and communications, including laws related to consumer protection, product safety, labeling, taxes, privacy, and intellectual property.
5. Accounts; Security; Communications
Account Registration. To access certain features, you must create an Account and provide accurate, complete, and current information. You may not impersonate any person or create an Account for anyone other than yourself (or the entity you are authorized to represent).
Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account. You must notify us promptly of any suspected unauthorized access or security incident.
Communications. By using the Platform, you consent to receive communications from us electronically (e.g., email, text, in‑app messages). You agree that electronic communications satisfy any legal requirement that communications be in writing.
6. Marketplace Role; No Agency; Seller of Record
Platform Provider. YuZaar provides the Platform to enable Sellers and Buyers to connect and transact. Unless explicitly stated in a specific Listing, YuZaar is not the Seller of record and does not own, manufacture, store, inspect, or endorse items or services offered by Sellers.
No Agency. Sellers and Buyers contract directly with each other. YuZaar is not a party to Transactions, is not an agent for either party, and does not guarantee that a Buyer or Seller will complete a Transaction. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and YuZaar.
Responsibility. Sellers are solely responsible for their Listings, goods/services, pricing, fulfillment, warranties (if any), and compliance with law. Buyers are solely responsible for their purchasing decisions and for reading Listing details and Seller terms.
7. Listings; Prohibited Items; Content Standards
Sellers must ensure Listings are accurate, complete, and not misleading, including descriptions, photos, prices, processing times, shipping terms, and any required warnings or disclosures.
Listings and items/services must comply with the Prohibited Items Policy and Content & Listing Standards. YuZaar may remove or restrict Listings at any time for policy or legal reasons, including where we believe a Listing creates risk or violates these Terms.
YuZaar may require identity verification, KYC, or other verification steps for Sellers or Buyers as described in the Seller Policy and related procedures.
8. Orders; Payments; Fees; Taxes
Payments. Payments may be processed through YuZaar’s designated payment processors. By making or receiving payments through the Platform, you agree to the applicable payment processor terms and the Platform Payments Policy.
Fees. YuZaar may charge Fees as disclosed on the Platform. Fees may be deducted from Seller payouts or charged to Buyers as applicable. YuZaar may change Fees prospectively by posting updated Fee schedules.
Taxes. Sellers are generally responsible for determining, collecting, reporting, and remitting any taxes applicable to their sales, unless YuZaar explicitly states that it will collect certain taxes in certain jurisdictions. Buyers are responsible for any use, VAT, duties, or import taxes not collected at checkout.
9. Shipping, Delivery, and Risk of Loss
Sellers must ship or deliver as described in the Listing and comply with the Shipping & Delivery Policy and any hazardous materials or lithium battery shipping requirements where applicable.
Risk of loss and title transfer are determined by the Seller’s terms and applicable law, and may vary by Transaction. YuZaar may provide shipment tracking tools or labels as a convenience but does not assume responsibility for carrier performance.
Buyers must provide accurate delivery information and promptly report delivery issues through the Platform’s dispute process.
10. Returns, Refunds, and Disputes (Marketplace Process)
Policy Control. Returns and refunds are governed by the Refunds & Returns Policy and any Seller‑specific terms consistent with Platform policy.
Dispute Process. If a dispute arises (e.g., non‑delivery, item not as described, defective item, service issues), you agree to first attempt resolution directly through Platform messaging and then through YuZaar’s support/dispute workflow. You must provide requested documentation (photos, tracking, communications, invoices) to support your claim.
Intervention. YuZaar may, but is not obligated to, facilitate resolution. Where Platform policies provide Buyer protection or resolution rules, YuZaar may make determinations based on the available evidence and the applicable policy.
Chargebacks. Unauthorized or bad‑faith chargebacks or payment reversals may result in Account restriction, loss of protections, or termination.
11. User Content; Reviews; License; Takedowns
You retain ownership of your User Content, subject to the license granted in this section.
License to YuZaar. By submitting User Content, you grant YuZaar a worldwide, non‑exclusive, royalty‑free, transferable, sublicensable license to host, store, reproduce, modify (for formatting), display, distribute, and otherwise use your User Content as necessary to operate, improve, and market the Platform and to perform these Terms. This license continues until you remove the User Content from the Platform, except that it may persist where required for legal, compliance, dispute, backup, or archival purposes.
Reviews. Reviews must be honest and based on actual experiences. Manipulation of reviews or ratings is prohibited.
Moderation. YuZaar may remove, restrict, or disable access to User Content that violates these Terms or Platform policies or that we reasonably believe creates legal, safety, or fraud risk.
12. Intellectual Property; DMCA/Trademark Complaints
YuZaar IP. The Platform and its content (excluding User Content) are owned by or licensed to YuZaar and are protected by intellectual property laws. You may not use YuZaar trademarks, logos, or content except as expressly permitted by these Terms or with written permission.
User IP Compliance. Users must not infringe others’ intellectual property. YuZaar responds to properly submitted copyright (DMCA) and trademark complaints as described in the Platform’s Intellectual Property/DMCA/Trademark Complaint Policy.
Repeat Infringers. YuZaar may terminate Accounts of users who are repeat infringers or who repeatedly violate IP policies.
13. Prohibited Conduct
You agree not to:
- violate any law or Platform policy;
- post or sell Prohibited Items;
- submit false, deceptive, or misleading information;
- harass, threaten, or abuse others;
- engage in fraud, theft, or money laundering;
- attempt to bypass Platform fees, payment flows, or dispute processes;
- introduce malware, scrape data, reverse engineer, or interfere with the Platform;
- use the Platform for unsolicited commercial messaging or spam;
- manipulate search, rankings, reviews, or engagement metrics;
- circumvent suspensions or create new Accounts to avoid enforcement.
14. Safety; Product and Service Disclaimers
Sellers are responsible for product safety, compliance, warnings, instructions, and recalls. Sellers must comply with the Platform’s Product Safety & Recalls and Prohibited Items policies.
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YUZAAR DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE.
YUZAAR DOES NOT MAKE REPRESENTATIONS OR WARRANTIES ABOUT SELLER LISTINGS, GOODS, OR SERVICES, INCLUDING QUALITY, SAFETY, ACCURACY, LEGALITY, OR FITNESS FOR A PARTICULAR PURPOSE.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YUZAAR AND ITS AFFILIATES, OFFICERS, DIRECTORS, MANAGERS, MEMBERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL YUZAAR’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS EXCEED THE GREATER OF (A) THE TOTAL FEES PAID TO YUZAAR BY YOU IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) $100.
16. Indemnification
You agree to defend, indemnify, and hold harmless YuZaar and its affiliates, officers, directors, managers, members, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Platform; (b) your Listings, goods/services, User Content, or Transactions; (c) your violation of these Terms or any Platform policy; or (d) your infringement or misappropriation of any intellectual property or other rights of any person.
17. Suspension; Termination; Enforcement
YuZaar may suspend or terminate your Account or access to the Platform at any time for any reason, including if we reasonably believe you have violated these Terms or policies, created risk, engaged in fraud, or harmed other users or the Platform.
Upon termination, you must cease use of the Platform. Certain sections of these Terms survive termination, including IP, disclaimers, limitation of liability, indemnification, dispute resolution, and miscellaneous provisions.
18. Dispute Resolution; Venue; Class Action Waiver
Informal Resolution. Before filing a formal claim, you agree to contact YuZaar support and attempt to resolve the dispute informally.
Venue and Governing Law. These Terms are governed by Arizona law. Except where prohibited, exclusive venue for actions relating to the Platform or these Terms is in the state courts located in Maricopa County, Arizona, or if jurisdiction exists, the United States District Court for the District of Arizona.
Class Action Waiver. To the maximum extent permitted by law, you agree to bring claims only on an individual basis and not as a plaintiff or class member in any purported class or representative action.
19. Changes to the Platform or Terms
We may modify the Platform or these Terms from time to time. If we make material changes, we will post the updated Terms with a new “Last Updated” date, and may provide additional notice where required by law. Your continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.
20. Miscellaneous
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
Assignment. You may not assign these Terms without YuZaar’s prior written consent. YuZaar may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
Entire Agreement. These Terms and the incorporated policies constitute the entire agreement between you and YuZaar regarding the Platform and supersede prior agreements on that subject.
Headings. Headings are for convenience and do not affect interpretation.

1. Purpose
This Marketplace Terms Addendum (this “Addendum”) is a structural companion to the Marketplace Terms of Service (the “Terms”).
It clarifies how YuZaar’s public-facing policies work together, how conflicts are resolved, and how YuZaar enforces the policies, without repeating or replacing the substantive rules already contained in the Terms and policies.
2. Incorporation by Reference
The following policies, as posted on the Platform, are incorporated into the Terms by reference and form part of the agreement between YuZaar LLC and users (“Platform Policies”). Platform Policies may be updated from time to time as described in Section 6.
- Seller Policy.
- Buyer Protection / Claims Policy.
- Refunds & Returns Framework.
- Payments Policy.
- Prohibited Items Policy.
- Listing & Content Standards Policy.
- Shipping & Delivery Standards for Sellers (Marketplace Shipping Policy), if posted.
- Product Safety & Recalls Policy, if posted.
- Complaints & Law Enforcement / Suspicious Activity Reporting Policy, if posted.
- Marketplace Reviews & Anti-Manipulation Policy, if posted.
- Privacy Policy and Notice at Collection, Cookie Policy, and related cookie-consent disclosures (as applicable).
- Intellectual Property Policies (DMCA Copyright Takedown Policy, Trademark Complaint Policy, and related IP procedures).
- Security & Vulnerability Disclosure Policy (if posted).
- Any additional policies or guidelines YuZaar posts to the Platform and identifies as incorporated into the Terms.
3. Scope Boundaries
Each Platform Policy is intended to cover a defined topic area. Users should rely on the most relevant policy for the question at hand. Examples:
- Payments and payouts: Payments Policy controls payment processing, holds/reserves, chargebacks, negative balances, and payout timing.
- Order disputes and remedies: Buyer Protection / Claims and the Refunds & Returns Framework control claim types, eligibility, deadlines, and remedies.
- Seller conduct and operational duties: Seller Policy controls seller responsibilities, and seller-facing operational standards (for example, Marketplace Shipping Policy) set evidence and cooperation requirements.
- Listings and what may be sold: Prohibited Items and Listing & Content Standards control what can be listed/sold and what disclosures are required in listings.
- Safety escalations: Product Safety & Recalls (if posted) controls how YuZaar handles safety complaints, recalls, takedowns, and buyer notification processes.
- Reporting suspicious activity: Complaints & Law Enforcement / Suspicious Activity Reporting (if posted) controls how users report illegal listings or suspicious activity and how law enforcement contacts YuZaar.
4. Order of Precedence
If there is an inconsistency between Platform Policies:
- The more specific policy controls for its specific subject matter.
- If two policies are equally specific, the policy with the more recent effective date controls for that subject matter.
- The Terms control for general contract topics (for example, Platform role, disclaimers, limitation of liability, indemnity, dispute resolution) unless a more specific policy expressly controls the topic.
- Mandatory law controls where a provision cannot legally be varied by contract.
5. Enforcement, Evidence, and Platform Discretion
YuZaar may take enforcement actions consistent with the Terms and Platform Policies, including listing removal, feature restrictions, payout holds/reserves (as permitted by the Payments Policy), suspension, and termination.
In claims and disputes, YuZaar may require evidence (for example, tracking, proof of shipment, communications, photos) and may make decisions based on the available evidence and the applicable policy standards.
YuZaar’s enforcement decisions are intended to support Platform integrity and user safety and do not make YuZaar a party to Transactions between buyers and sellers.
6. Updates to Policies; Notice
YuZaar may update Platform Policies by posting an updated version on the Platform with an updated effective date or “Last Updated” date.
Unless required by law, updates apply prospectively after posting. Continued use of the Platform after the updated effective date constitutes acceptance of the updated Platform Policies.
7. Internal Standards
YuZaar may maintain internal standards and procedures (for example, internal compliance or technical standards). Internal documents do not create rights for users, do not modify the Terms, and may be changed without notice. User-facing obligations and rights are governed by the Terms and the public Platform Policies.
