YuZaar Marketplace is a visionary e-commerce ecosystem built to empower independent brands and dedicated sellers. We believe in a marketplace where quality, transparency, and fair competition allow great products to find their way to the right customers. Our platform is designed to help you scale your vision while protecting your brand’s integrity and margins.


1. Marketplace Fundamentals & Roles

What is YuZaar Marketplace, and who is the Seller of Record?
YuZaar Marketplace (YuZaar.com) is an online platform owned and operated by YuZaar LLC. Clear Horizon Holding LLC is the parent company of YuZaar LLC. We provide the digital infrastructure to connect independent Sellers with Buyers. For all transactions, the Seller is the Seller of Record. YuZaar LLC provides the venue but does not take title to, or possession of, the items sold by third-party Sellers.

Who is responsible for the products and fulfillment?
Sellers are solely responsible for their listings, the quality and safety of their products, legal compliance (including labels and warnings), and the fulfillment of orders. YuZaar Marketplace inspires excellence but does not manufacture, store, or inspect the items listed by independent sellers.


2. Onboarding & Seller Standards

What are the requirements to sell on YuZaar?
We prioritize high-quality listings and reliable brands. During onboarding, Sellers must affirmatively accept the Seller Onboarding Agreement, the Marketplace Terms of Service (TOS), and our Content & Listing Standards. We look for partners who provide clear imagery, accurate descriptions, and consistent fulfillment.

What items are prohibited on the platform?
Safety is our foundation. We prohibit items that are illegal, infringing, or deceptive. Per our High-Risk Product Block, we restrict certain categories that pose elevated safety or regulatory risks. This includes, but is not limited to, unlawful weapons, counterfeit goods, and items subject to active recalls. Sellers are strictly liable for ensuring their products meet all applicable federal and state safety standards.


3. Shipping, Returns, and Refunds

Who pays for return shipping?
YuZaar LLC covers return shipping for approved returns that fall within our standard return window and meet eligibility requirements.

What is the return policy for YuZaar Marketplace?
To maintain a trust-focused experience, we facilitate a baseline return window of 14 calendar days from the date of confirmed delivery. Items must be returned in their original condition, unused, and in original packaging.

How do I initiate a return?
Buyers should contact support@yuzaar.com or use the platform’s messaging tools to request a Return Merchandise Authorization (RMA). Returns shipped without an authorized RMA or outside of the approved carrier labels may be rejected.

Who pays for return shipping?
Return shipping costs are determined by the seller’s policy and the reason for the return. Typically, buyers pay for return shipping for remorse returns, while sellers may cover it for defective items. YuZaar does not cover return shipping costs.

Who bears the risk of loss?
Title and the risk of loss pass from the Seller to the Buyer when the shipment is delivered to the carrier. For returns, the risk of loss remains with the Buyer until the return is successfully received and scanned at the Seller’s designated facility using a YuZaar-authorized label.


4. Payments, Fees, and Taxes

How are payments handled?
Payments are processed through our secure designated payment processors. YuZaar LLC may charge platform fees as disclosed in the Seller Fee Schedule.

Does YuZaar hold reserves on funds?
To protect the integrity of the marketplace and manage potential chargebacks or disputes, YuZaar LLC reserves the right to place holds or maintain an account reserve (standardly up to 50% for 30 days based on risk assessment) as detailed in our Payments Policy.

Who handles sales tax?
Users are responsible for all taxes arising from their use of the platform. In jurisdictions where Marketplace Facilitator laws apply (such as Arizona), YuZaar LLC will collect and remit applicable Transaction Privilege Tax (TPT) or sales tax on behalf of the Seller.


5. Liability and Legal Protections

What is the extent of YuZaar’s liability?
YuZaar LLC provides the platform on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, YuZaar LLC and its affiliates are not liable for any indirect, incidental, or consequential damages arising from transactions between Buyers and Sellers. Our total aggregate liability is strictly limited as defined in the Marketplace Terms of Service.

Indemnification
Sellers agree to defend, indemnify, and hold harmless YuZaar LLC from any claims related to product defects, safety warnings, intellectual property infringement, or breaches of the Seller Onboarding Agreement.


6. Dispute Resolution & Governing Law

How are disputes resolved?
We encourage visionary collaboration and direct communication through our platform tools to resolve order issues. If a formal legal dispute arises, it is governed by the laws of the State of Arizona.

Where are legal proceedings held?
By using YuZaar.com, you agree that the exclusive venue for any judicial proceedings shall be the state or federal courts located in Maricopa County, Arizona. Most disputes related to the Terms of Service are subject to binding individual arbitration as detailed in our TOS.


7. Intellectual Property & Privacy

How does YuZaar handle IP infringement?
We respect the creative vision of all brands. If you believe your intellectual property is being infringed, please submit a notice compliant with 17 U.S.C. § 512 to legal@yuzaar.com. We maintain a designated DMCA agent and have a zero-tolerance policy for repeat infringers.

Is my data secure?
Your trust is our priority. Our data collection and usage practices are outlined in our Privacy Policy and Notice at Collection. Sellers receive Buyer data solely for the purpose of order fulfillment and are contractually prohibited from using this data for unauthorized marketing or external purposes.
